                                                                 PARTNERSHIP AGREEMENT

                                                                   All Konsoles for All Kids

 

 

This agreement made and entered on 1/22/2014 between Arman Barzkar and Matthew Mclean.

 

            WITNESSETH, the above-named parties have this date formed a partnership for the purposes of engaging in a business under the following stipulations which are part of this contract:

 

            FIRST, the parties agree to become partners in the operation of All Konsoles for All Kids and the partnership shall continue from 1/22/2014 until March 7th.

 

           SECOND, the business shall be conducted under the firm’s name of All Konsoles for All Kids located at room 2244 at 6522 Throupe Road in Sooke, BC, Canada.

 

           THIRD, all work done by the partners is to be shared fairly and equally. Failure to do so will result in re-adjustment of profits or losses.

 

           FOURTH, proper accounts shall be kept of all transitions relating to the partnership. On grand-opening day, the books will be closed and reports made.

 

           FIFTH, in case of death, incapacity, or withdrawal of one partner, the business is to be conducted for the rest of the fiscal term by the remaining partners. The profits or loses will be divided with the withdrawn partner according to the ratio of the time he or she was a partner during the term. In case the partnership is dissolved or at the termination of the agreement, the assets, after the liabilities have been paid, are to be divided between the partners based on the ratio of investments.
